1. Services

Tachyonic provides AI security services, including but not limited to:

• Red Team Assessment: Manual and automated security testing for AI systems
• Prompt Firewall: Real-time malicious prompt detection API
• Continuous Evals: CI/CD integration for ongoing security testing

We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent. By using our services, you represent and warrant that you meet these requirements.

3. Account Registration

To access certain services, you may need to create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity of our services
• Reverse engineer, decompile, or disassemble any part of our services
• Use our services to develop competing products
• Resell or redistribute our services without authorization

5. Fees and Payment

Service fees are as quoted on our website or in a separate agreement. All fees are in U.S. dollars unless otherwise specified.

You are responsible for all applicable taxes, excluding taxes based on our net income.

All content, software, and materials provided through our services are owned by or licensed to Tachyonic and protected by intellectual property laws. You may not copy, modify, or distribute our materials without prior written consent.

You retain ownership of any data or content you provide to us. By using our services, you grant us a limited license to use your data solely to provide the services.

6.3 Feedback

Any feedback, suggestions, or ideas you provide may be used by us without obligation to you.

7. Confidentiality

7.1 Confidential Information

Each party agrees to protect the other's confidential information with the same degree of care used to protect its own confidential information, but no less than reasonable care.

7.2 Exceptions

Confidentiality obligations do not apply to information that is:

• Publicly available through no fault of the receiving party
• Already known to the receiving party
• Independently developed without use of confidential information
• Lawfully obtained from a third party

8. Disclaimer of Warranties

Our services are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our services will be uninterrupted or error-free, that defects will be corrected, or that our services are free of viruses or harmful components.

9. Limitation of Liability

To the maximum extent permitted by law, Tachyonic shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of our services.

Our total liability shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Tachyonic and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights

11. Term and Termination

11.1 Term

These Terms remain in effect until terminated by either party.

11.2 Termination

Either party may terminate these Terms at any time with written notice. We may suspend or terminate your access immediately if you breach these Terms.

11.3 Effect of Termination

Upon termination:

• Your right to use our services ceases immediately
• You remain liable for any fees incurred prior to termination
• Sections 6, 7, 8, 9, 10, and 12 survive termination

12. General Provisions

12.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

12.2 Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

12.3 Entire Agreement

These Terms constitute the entire agreement between you and Tachyonic regarding the services and supersede all prior agreements.

12.4 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in effect.

12.5 Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision.

12.6 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
